These Master Customer Terms and Conditions ("Master Terms") are intended primarily for business and commercial customers. They constitute a legally binding agreement between you (the "Customer") and PartGo LLC, a Delaware Limited Liability Company ("PartGo", "we", "us", or "our").
Definitions
"Customer" means the individual or legal entity that accepts these Master Terms, creates an account, receives a Quote, or places an Order through the PartGo Platform.
"Order Confirmation" means the electronic or written order document issued by PartGo identifying the applicable Specifications, quantity, price, delivery terms, taxes, estimated delivery date, and any order-specific technical requirements.
"Specifications" means all 3D CAD models, 2D drawings, material requirements, and technical data submitted by the Customer.
Acceptance & e-signature
The Customer accepts these Master Terms by affirmatively clicking the applicable checkbox, "I Agree," "Place Order," or equivalent acceptance control after being presented with or provided a conspicuous link to these Master Terms during checkout. This electronic acceptance constitutes a legally binding electronic signature. The individual accepting these Master Terms represents that they have legal authority to bind the Customer entity. Creating an account by itself does not constitute acceptance of these Master Terms.
PartGo’s role & network partners
PartGo operates a Manufacturing as a Service (MaaS) platform. PartGo acts as the principal in all transactions with the Customer but fulfills orders by engaging independent, third-party manufacturing partners ("Network Partners"). The applicable manufacturing location or country of origin may be identified in the Order Confirmation where relevant. PartGo does not validate or warrant the safety, regulatory compliance, or fitness of the Customer’s design or end-use application.
Order of precedence & battle of the forms
Each document governing the Customer's relationship with PartGo shall control solely with respect to the subject matter it specifically governs:
PartGo-issued Order Confirmation: Controls solely the specific technical, commercial, pricing, and delivery terms of the applicable order.
The Quality and Inspection Standard: Controls technical quality requirements.
Export Control Policy: Controls export-control and sanctions matters.
Mutual Non-Disclosure Agreement (NDA), if applicable: Controls confidentiality and permitted use of information.
These Master Terms: Control all other general commercial and legal matters.
Any terms contained in a Customer purchase order, supplier portal, procurement system, or other Customer document are expressly rejected and shall have no force or effect unless expressly accepted in a written document signed by an authorized representative of PartGo.
Specifications & DFM feedback
The Customer is solely responsible for the accuracy of all Specifications.
Informational Feedback Only: Any manufacturability feedback, design-for-manufacturing (DFM) suggestions, or automated platform recommendations provided by PartGo are informational only and do not constitute engineering approval, design validation, or a guarantee of fitness for use.
Quotes, pricing & payment terms
Quote Validity: A Quote is valid for thirty (30) days only for the Specifications, quantity, materials, tolerances, and delivery assumptions stated in the Quote. Any change requires a revised Quote.
Order Formation: An Order becomes binding only when PartGo issues an "Order Confirmation" and receives the required payment or payment authorization.
Payment Terms: All orders require 100% upfront payment via credit card or ACH unless PartGo expressly agrees to different payment terms in a separate written agreement signed by an authorized representative of PartGo.
Billing Contact: Questions regarding invoices, payments, refunds, or payment records should be sent to accounting@partgo.co.
Late Payments: Invoices not paid by the due date shall accrue a late fee of 1.5% per month (or the maximum allowed by law).
Sales and Use Taxes: All prices are exclusive of applicable sales, use, value-added, or similar transaction taxes unless expressly stated otherwise. Where required by applicable law, PartGo will calculate, collect, and remit sales/use tax on the applicable Order, and Customer shall pay such taxes in addition to the stated price. Customer remains responsible for taxes not collected by PartGo, including where Customer claims tax-exempt status without providing valid, current supporting documentation before invoicing.
Included Import Costs for Standard U.S. Orders: Unless the applicable Quote or Order Confirmation states otherwise, PartGo's quoted Production price for a standard U.S. delivery includes the ordinary international freight, customs brokerage, and import duties/tariffs reasonably estimated by PartGo based on the Customer-provided information, classification assumptions, country of origin, and governmental rates in effect and reasonably available as of the Order Confirmation.
Post-Order Governmental Charge Adjustments: If, after Order Confirmation but before customs release, a new or increased tariff, duty, governmental fee, trade-remedy charge, or binding customs assessment applies to the Order, or if additional governmental charges result from inaccurate or incomplete information supplied by Customer, PartGo may invoice the documented incremental amount to Customer. PartGo will provide reasonable notice and supporting detail. PartGo may suspend shipment or delivery until the incremental amount is paid. PartGo will not pass through an incremental charge to the extent it was caused solely by PartGo's own classification or documentation error, negligence, or failure to apply a rate already in effect and reasonably ascertainable at the time of Order Confirmation. If a material governmental charge increase occurs before production or material procurement begins, Customer may elect to cancel the affected Order and receive a refund of amounts paid for work not yet committed; after production or procurement begins, Section 8 applies.
Payment disputes, chargebacks & suspension
Chargebacks: In the event of an unjustified credit card chargeback or payment dispute, PartGo reserves the right to immediately suspend the Customer's account and halt all active production. Customer shall be liable for all bank fees, collection costs, and reasonable attorneys' fees incurred by PartGo to recover disputed amounts.
Suspension: PartGo may suspend or terminate an account at any time for delayed payment, suspected fraud, export-control risks, or violation of these Terms.
Changes & cancellations
Before Production: Customer may request cancellation before production or material procurement begins, subject to PartGo’s written approval, which may be granted without charge at PartGo's discretion.
After Production Commences: Once material procurement or production begins, cancellation or modification is not permitted except at PartGo’s discretion. The Customer shall remain liable for all documented costs and commitments, including completed work, work-in-progress, raw materials, non-cancellable supplier commitments, setup/tooling, and a reasonable administrative fee.
Delivery, importation, title & risk of loss
U.S. Importer of Record: For standard Orders delivered to a United States address and manufactured outside the United States, PartGo LLC will act as the Importer of Record unless PartGo expressly agrees otherwise in a separate written agreement. PartGo will arrange U.S. customs clearance and payment to U.S. Customs and Border Protection of applicable import duties, tariffs, and fees. The Customer will not be required to act as Importer of Record for such standard Orders.
Customer Customs Information: Customer is responsible for providing accurate, complete, and sufficiently descriptive factual information concerning the part, material, quantity, final product or assembly in which the part will be used, intended end use, industry/application, and any other information reasonably requested for customs or export-control purposes. The Customer is not required to select or determine the U.S. HTS classification. Any classification information voluntarily supplied by Customer is informational only and does not transfer PartGo's legal obligations as Importer of Record. If additional duties, tariffs, governmental charges, storage, examination, re-entry, or other documented import costs arise because Customer-provided factual information was inaccurate, incomplete, misleading, or materially insufficient, PartGo may recover the documented incremental amount from Customer, subject to Section 6. PartGo remains responsible for incremental amounts caused solely by PartGo's own classification or documentation error.
Risk of Loss: Unless the applicable Order Confirmation expressly states otherwise, risk of loss transfers to Customer upon delivery to the specified U.S. delivery address.
Title Transfer: Title to the manufactured parts transfers to the Customer only upon PartGo's receipt of full payment for the applicable Order.
Partial Shipments: PartGo does not make partial Customer deliveries unless PartGo and Customer expressly agree otherwise in writing.
Inspection & acceptance (10 days)
The Customer must inspect all delivered parts within ten (10) business days of receipt. Any visible non-conformities or quantity discrepancies must be reported to support@partgo.co in writing within this period. Customer shall preserve the allegedly nonconforming parts and provide PartGo a reasonable opportunity to inspect them.
Failure to report visible non-conformities within ten (10) business days constitutes acceptance of those specific visible issues only, and does not waive any claims for latent manufacturing defects covered by the Warranty Period in Section 11.
Limited warranty (30 days) & exclusive remedy
PartGo warrants that the manufactured parts will materially conform to the technical manufacturing requirements expressly identified in the applicable Order Confirmation and the version of the PartGo Quality and Inspection Standard referenced therein for a period of thirty (30) days from the date of delivery (the "Warranty Period"). This 30-day warranty specifically covers hidden (latent) manufacturing defects. It expressly excludes issues arising from design flaws, improper use, or normal wear and tear.
Exclusive Remedy: For valid warranty claims, PartGo’s sole and exclusive obligation shall be, at PartGo’s option, to:
(a) Rework or repair the parts;
(b) Remake the parts at no additional cost; or
(c) Refund/credit the purchase price of the affected parts.
Intellectual property & confidentiality
Customer IP: Customer retains all rights to their Specifications. Customer represents and warrants that it owns or controls all rights necessary to submit the Specifications.
License to Manufacture and Store: Customer grants PartGo and its Network Partners a limited license to use the Specifications solely to fulfill orders. This license includes the right to store, reproduce, and access the Specifications as reasonably necessary for quoting, production records, quality control, warranty administration, legal compliance, and audit purposes.
PartGo IP Ownership: PartGo retains all right, title, and interest in and to the PartGo Platform, software, pricing models, algorithms, workflows, quality systems, trademarks, and other PartGo materials.
Confidentiality: PartGo agrees to hold Customer CAD files strictly confidential and will only share them with internal personnel and vetted Network Partners bound by Non-Disclosure Agreements (NDAs).
Export controls & cross-border data transfer
Türkiye Cross-Border Transfer: Customer acknowledges that Specifications may be accessed, processed, or manufactured outside the United States, including by approved personnel and Network Partners in Türkiye, as reasonably necessary to provide the Services.
ITAR / Classified Data Prohibited: Customer shall not upload, submit, transmit, or otherwise provide to PartGo any ITAR-controlled technical data or classified information. PartGo does not accept ITAR-controlled technical data.
Other Export-Controlled Data: If Technical Data is subject to the EAR under an ECCN other than EAR99, requires a license or other authorization, or is subject to restricted end-user or end-use controls, Customer must notify PartGo before upload or cross-border release. PartGo may refuse, suspend, or condition processing on satisfactory compliance review and any required authorization.
Disclaimer of all other warranties
EXCEPT FOR THE EXPRESS LIMITED WARRANTY SET FORTH IN SECTION 11, ALL SERVICES AND PARTS ARE PROVIDED ON AN "AS IS" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY DELAWARE LAW, PARTGO EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of liability
IN NO EVENT SHALL PARTGO LLC OR ITS NETWORK PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR ASSEMBLY DELAYS.
IN NO EVENT SHALL PARTGO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY SPECIFIC ORDER EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER FOR THAT ORDER.
Nothing in these Master Terms excludes or limits liability for fraud, gross negligence, willful misconduct, or personal injury/death where such liability cannot lawfully be excluded under applicable law.
Indemnification
Customer shall indemnify, defend, and hold harmless PartGo LLC and its Network Partners from any claims, damages, or liabilities arising from:
(a) Customer's Specifications (including patent or IP infringement claims);
(b) Customer’s integration, resale, or end-use of the manufactured parts.
Procedure: Customer shall control the defense of the claim, provided that PartGo may participate with counsel of its choice at its own expense. Customer may not settle any claim in a manner that admits fault by, or restricts the rights of PartGo without PartGo’s prior written consent.
Exception: Customer’s indemnification obligations do not apply to the extent a claim results directly from PartGo’s failure to manufacture in accordance with the applicable Specifications.
Force majeure
PartGo shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, pandemics, war, terrorism, labor strikes, or severe supply chain disruptions.
Force Majeure does not include a Party’s failure to perform caused by its own negligence, willful misconduct, inaccurate customs documentation, or failure to comply with applicable law.
If an Order is delayed or cancelled due to a Force Majeure event lasting more than sixty (60) days, Customer shall pay for completed work, work-in-progress, non-cancellable commitments, and materials that cannot reasonably be repurposed. Any remaining balance of prepaid amounts shall be refunded, subject to these deductions.
Governing law & general provisions
Governing Law: These Master Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Exclusive venue for any disputes shall be the state or federal courts located in Delaware.
Notices: All legal notices must be sent in writing to info@partgo.co and/or the physical address listed above.
Assignment: Customer may not assign these Terms or any order without PartGo’s prior written consent. PartGo may assign these Terms in connection with a merger, acquisition, or corporate reorganization.
No Waiver: The failure of either Party to enforce any right or provision will not be deemed a waiver of such right.
Severability: If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement: These Master Terms, along with the Privacy Policy, the applicable Order Confirmation, and incorporated documents, constitute the entire agreement between the Parties and supersede all prior communications.
Modifications: PartGo may modify these Master Terms at any time by posting a revised version with an updated Effective Date. For material changes, PartGo will provide notice via email or a prominent notice on the Website. Continued use of the Website, creation of a new Quote, or placement of a new Order after the updated Effective Date constitutes acceptance of the revised Master Terms. Changes do not apply retroactively to an Order Confirmation already accepted prior to the change.
